Subscription Authorization

This Subscription Authorization ("Authorization") governs recurring paid subscriptions purchased directly from Barkly Connect LLC ("Barkly") through Barkly-controlled web checkout, invoice, order form, or another direct billing flow. It supplements the Barkly Connect Terms of Service. The specific plan, modules, quantity, price, billing interval, trial or promotional terms, and taxes shown at checkout or in an order form are incorporated into this Authorization.

1. Authority to Subscribe

By accepting this Authorization, the person completing the purchase represents that they are authorized to purchase Barkly Connect for the subscribing organization (“Customer”) and to authorize recurring charges using the selected payment method.

2. Subscription Details Presented at Purchase

Before Customer is charged, Barkly will present the material subscription terms, including as applicable:

  • the Barkly Connect plan or module(s) being purchased;
  • the quantity or billing metric, such as users, employees, seats, locations, or another stated measure;
  • the amount to be charged and applicable billing frequency;
  • the initial term and renewal term;
  • any free trial, introductory price, credit, discount, or promotional period and what happens when it ends;
  • the date or timing of the first charge;
  • the fact that the subscription automatically renews unless canceled; and
  • the method and timing required to cancel and prevent future renewal charges.

3. Recurring Payment Authorization

By affirmatively accepting this Authorization and submitting the subscription order, Customer authorizes Barkly and its payment processor to charge the payment method provided for the amount disclosed at purchase, plus applicable taxes, on the disclosed recurring billing schedule until the subscription is canceled or otherwise terminated.

Customer authorizes Barkly's payment processor to store payment credentials or a payment token for recurring billing in accordance with the processor's terms and security practices. Barkly generally does not receive or store the complete payment-card number.

4. Automatic Renewal

Unless the purchase screen or order form expressly states otherwise, the subscription automatically renews for successive periods equal to the renewal period disclosed at purchase. Customer will continue to be charged at each renewal unless cancellation becomes effective before the applicable renewal deadline.

Where required by law, Barkly will provide advance renewal or price-change notices and any other required reminders using the Customer's account email or another agreed communication method.

5. Price and Subscription Changes

Barkly may change subscription prices or paid-plan terms prospectively. A price change will not retroactively alter charges already incurred. When required by law or the applicable purchase terms, Barkly will provide advance notice before a changed price applies to a renewal and will obtain any additional consent required by law.

6. Cancellation

Customer may cancel a direct Barkly subscription through the billing or account-management method made available by Barkly, or by contacting Barkly at support@barklyconnect.com if an online cancellation control is unavailable. Barkly will not require a cancellation method that is materially more burdensome than the method used to subscribe where applicable law requires an easy cancellation mechanism.

Unless otherwise stated at purchase or required by law, cancellation stops future renewals and does not terminate access immediately; paid access continues through the end of the then-current paid billing period. Cancellation does not by itself create a right to a prorated refund.

7. Failed Payments

If a payment is declined or cannot be completed, Barkly may retry the payment method, request an updated payment method, restrict paid functionality, or suspend the subscription after reasonable notice. Customer remains responsible for amounts properly due under the subscription.

8. Refunds

Except where required by law or expressly stated in an order form, promotional offer, or written refund policy, amounts paid are non-refundable and there are no credits for partially used billing periods. This does not limit rights that cannot legally be waived.

9. App Store and Marketplace Purchases

This Authorization applies to subscriptions billed directly by Barkly. If a subscription is purchased through Apple's App Store or another marketplace, the marketplace processes the payment and its subscription, renewal, cancellation, and refund rules govern that transaction. Barkly will provide users with information reasonably necessary to manage marketplace subscriptions.

10. Subscription Acknowledgment

After a direct subscription is completed, Barkly will provide or make available an acknowledgment that includes the material subscription terms and information on how to cancel. Customer should retain that acknowledgment for its records.

11. Electronic Consent and Records

Customer agrees that acceptance may be captured electronically. Barkly may retain records of the accepted Authorization, version number, effective date, acceptance timestamp, Customer and user identifiers, plan and pricing information, billing interval, and other transaction metadata as evidence of authorization and for legal, security, accounting, and support purposes.

12. Relationship to Other Agreements

This Authorization supplements the Barkly Connect Terms of Service and Privacy Policy. If a signed order form expressly conflicts with this Authorization regarding pricing, term, renewal, or cancellation, the signed order form controls for that Customer. Otherwise, this Authorization controls recurring-payment consent for direct Barkly subscriptions.

13. Version and Material Changes

This is Version 1.0, effective September 4, 2026. Barkly may revise this Authorization prospectively. If a change materially alters an existing Customer's recurring-payment authorization in a manner that requires renewed consent, Barkly will obtain that consent before relying on the revised authorization for future charges.
